License for use of Wet Words Content

CONTRACT (STORY LICENSE AGREEMENT) This License Agreement ("Agreement") is made effective as of, ________________ Between Wet Words and its assigns and:

In the agreement, the party who is granting the right to use the licensed property will be referred to as ("Licensor"), the party who is receiving the right to use the licensed property will be referred to as ("Licensee"). The parties agree as follows: The following title names shall be referred to as ("Content") in this agreement, and is all of the content covered with this agreement. The Licensor agrees to license the following Titles to the Licensee.

The parties agree as follows:

[1.] Grant of license. Licensor owns and distributes the content named above. In accordance with this agreement, Licensor grants ______________ a non-exclusive web site license to distribute story/stories(s) on their web site(s). (Licensor retains title and ownership of the content.) _________________ agrees not to sell or distribute the story/stories via any physical method (IE: on diskettes, CD-ROM, paper printing, or any other technology not specifically named in this document) without additional permission and payment of fees. This means that the licensee understands that the distributing of story/stories is defined as online user downloading from the __________________ web site. ________________________ may add banners or web site URL's to the story/stories, is permitted to make and alter thumbnail pages and add URL addressing as a layer. You may also rename files. However, Licensee may not alter the content to make them appear to be copyrighted property of anyone other than Licensor. Licensee is NOT licensed to rent, lease, transfer, network, reprise display, or distribute the Content materials, except as specially provided above. Licensee acknowledges that unauthorized reproduction of copies of the licensed material may constitute a serious crime, and that such actions may also result in a suit for damage, injunctive relief, and attorney fees, pursuant to this agreement and to other rights that the licensor may have. It is understood, not withstanding any other provisions of this agreement, Licensor has the unequivocal right to obtain timely injunctive relief to protect the proprietary rights of Licensor. If the contract is violated, this license is terminated without a refund of the licensing fee upon written notice by Wet Words, or any of its assigns by (Fax or Email). If a story/stories is used for advertising on ________________ web pages, the following must be added and readable by the user, story/stories being used are courtesy Wet Words. All Rights Reserved needs to be placed the bottom of the page.

[2]. Payment of Royalty. ___________________ will pay to Wet Words $5.00 per 1000 word story or $50.00 for a purchase of 10,000 words. This lifetime license covers each Wet Words story/audio. This license allows _______________ to use each Wet Words file, on up to five (5) sites per domain, owned and operated by licensee without any additional fees required. Licensee may contract for more domains or sites by paying additional fees.
2.1 At no time may the purchaser display the material on more than five web sites, although the purchaser may change the actual sites from time to time, providing he/she notifies WetWords of the new site URLs, and at no time does the number of web sites featuring the material exceed five. The web sites must be registered to the purchaser.
2.2 The story/stories must not be used at any time for phone sex advertisements - online or otherwise - without written permission from Wet Words.
2.3 The material must only be distributed online via web sites and the story/stories may not be posted to news groups, bulletin boards or chat boards.
2.4 The material may not be distributed via any web sites that serve as story/stories archives, 'lease galleries' or web sites that in any way hold material for downloading by traffic from other URLs.
[3.] Transfer of Rights. The purchaser shall not have the right to assign its interests in this Agreement to any other party, unless the prior written consent of Wet Words is obtained. In the event of bankruptcy or dissolution of the purchaser this license shall be considered terminated and all rights will be relinquished. If you choose to sell the Web site(s) that the material is placed on, the content shall remain licensed by the purchaser, and must be removed from the web site upon sale or transfer. If any images owned by Wet Words remain (including, but not limited to): Web site Logos, banners, navigation image maps, and/or thumbnails, the new owner of the web site must have previously licensed any images owned by Wet Words, or must subsequently purchase a separate license agreement for the material to remain on-line.
[4] Transfer of Rights This agreement shall be binding on any successors of the parties. Licensee does not have the right to assign its interests in this agreement to any other party, unless the prior written consent of Licensor is obtained and an administration fee of fifty dollars ($50.00) is paid.

[5.] Entire Agreement. This Agreement contains the entire agreement of the parties and there are not any promises or conditions in any other agreement whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties. Any modifications not specifically listed in this document are not granted without express written permission of Licensor. This agreement requires that licensee return two (2) copies of the signature page to licensor for in her records, in order for this agreement to be binding. This agreement may be amended by the company having given seven (7) days written notice to all previous purchasers, however the company reserves the right not to enforce new amendments on existing license holders. If this agreement is modified or amended by Licensor, then the amendment will be sent in writing.

[6.] Sever ability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

[7.] Waiver of Contractual Right. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement

[8.] Revocation of License Licensor may revoke Licensee's license in the event that violates one or more of the provisions of this license, requests a refund of the license fee from Broker, or if the license payment is deemed not valid. If Licensee declares bankruptcy, the license is automatically revoked. Involuntary revocation of the license does not grant Licensee any refund of payment made.

[9.] Applicable Law. The law of the state of Florida, USA, shall govern this Agreement. ________________ holds Wet Words and any of its service corps. and assigns harmless for any legal issues relating to the distribution of the material as is related to the community standards and adult entertainment laws as set forth in the city/county, state or country of the licensee and their web sites. Wet Words does not warrant this material to be acceptable in your community, and __________________ has assumed full responsibility for determining what story/stories are suitable for distribution. Wet Words warrants that the story/stories are fully copyrighted, and this license warrants these story/stories free of intellectual property violations only. These story/stories are in compliance with the 18 U.S.C. 2257 US Federal law.
